THIS AGREEMENT made as of the 31 day of July, 2019.
BETWEEN: HER MAJESTY THE QUEEN IN RIGHT OF CANADA as represented by the Minister of Transport
AND: «COMPANY_NAME»,
("The Manufacturer")
WHEREAS by Memorandum of Understanding – Seat Belt Fit Evaluation for the 50th Percentile Male ATD in Front Outboard Seating Positions (the “MOU”), set out general terms with regard to implementation of seat belt fit evaluation procedures for the 50th percentile male ATD, in the front outboard seating positions of passenger cars, multipurpose passenger vehicles, trucks and buses with a gross vehicle weight rating of 3856 kg (8,500 lbs) or less, other than incomplete vehicles;
WHEREAS front seat and occupant restraint designs have advanced since the development of the MOU;
WHEREAS seat belt and occupant restraint hardware has advanced such that the specified software in the MOU is no longer able to properly represent current designs; and,
WHEREAS Her Majesty and the Manufacturer now wish to terminate the MOU.
NOW THEREFORE this agreement witnesses that the parties hereto agree as follows:
TERMINATION OF MOU
The MOU between Her Majesty and the Manufacturer is hereby terminated as of July 31, 2019 (the “Termination Date”).
1.0 RELEASE
Her Majesty hereby releases the Manufacturer from all further obligations, and other provisions of the MOU.
2.0 ENTIRE AGREEMENT
This agreement constitutes the entire agreement between the Parties with respect to the termination of the MOU.
3.0 SUCCESSORS AND ASSIGNS
This agreement shall be binding on Her Majesty and the Manufacturer, their successors and permitted assigns.
This agreement has been executed for and on behalf of Her Majesty the Queen in right of Canada by the authorized delegate of the Minister of Transport, and on behalf of the Manufacturer by its duly authorized signing officers.
